Terms and conditions

The following business and complaint terms and conditions govern the rights and obligations of the contracting parties arising from the purchase contract concluded between the seller:

and the buyer. The subject of this contract is the purchase and sale of goods on the seller's e-commerce website.

1. General provisions

1.1. These terms and conditions of sale and complaints in the wording valid on the date of conclusion of the purchase contract are an integral part of the purchase contract. In the event of conclusion of the purchase contract in written form, in which conditions deviating from these terms and conditions of sale and complaints are agreed, the provisions of the purchase contract shall take precedence over these terms and conditions of sale and complaints. The newly agreed terms and conditions must not conflict with other legal regulations (shortening of the period for returning goods, warranty period, etc.)

 

1.2. For the purposes of these business and complaint terms and conditions, an additional contract means a contract under which the buyer acquires goods or is provided with a service related to the subject matter of the given purchase contract, if the goods are supplied or the service is provided by the seller or a third party based on their agreement.

 

1.3. The displayed purchase price for goods on any e-commerce website operated by the seller also includes value added tax in the amount determined in accordance with the applicable legislation of the Slovak Republic. It does not include the price for the transport of goods or other optional services. All sales and other promotions are valid until stocks last, unless otherwise stated for the given goods.

 

1.4. The seller has the right to adjust the selling price of the goods, which is stated on the e-commerce website, at the seller's premises at any time. Such change does not apply to purchase contracts concluded before the price change, regardless of the fact that the goods have not yet been delivered.

2. Method of concluding a purchase contract

2.1. Kúpna zmluva sa uzatvára na základe návrhu, ktorý zasiela kupujúci predávajúcemu vo forme vyplneného a odoslaného formulára prostredníctvom internetovej stránky predávajúceho, ktorému zaslal návrh na jej uzatvorenie. Predmetom zmluvy je odplatný prevod vlastníckeho práva k tovaru označeného kupujúcim za kúpnu cenu a za podmienok, uvedených v tejto objednávke (ďalej len "objednávka").

2.2. Po odoslaní objednávky bude zaslaná na e-mailovú adresu automaticky generovaná správa o prijatí objednávky do elektronického systému predávajúceho (ďalej len "potvrdenie doručenia objednávky"). V prípade potreby je možné, že na e-mailovú adresu kupujúceho môžu byť zasielané všetky dodatočné informácie ohľadne jeho objednávky.

2.3. Potvrdenie o doručení objednávky obsahuje informácie o tom, že predávajúcemu bola doručená objednávka, ktorá nie je však akceptovaním návrhu na uzavretie kúpnej zmluvy.

2.4. Následne bude zaslaná na e-mailovú adresu kupujúceho informácia, ktorá obsahuje oznámenie o tom, či objednávka kupujúceho bola akceptovaná (ďalej len "akceptácia objednávky"). Obsahom akceptácie objednávky sú názov a špecifikácia tovaru, ktorého predaj je predmetom kúpnej zmluvy, údaje o cene tovaru a/alebo iných služieb, údaj o pravdepodobnej dodacej lehote tovaru, názov a údaje o mieste, kde má byť tovar dodaný a údaje o podmienkach, spôsobe cene a termíne prepravy tovaru na dohodnuté miesto doručenia pre kupujúceho, ďalej údaje o predávajúcom ako napríklad obchodné meno, sídlo, IČO a podobné. Oznámenie môže obsahovať aj iné potrebné údaje.

2.5. Uzatvorenie kúpnej zmluvy nastáva doručením akceptácie objednávky elektronickou alebo písomnou formou.

2.6. Predávajúci jasným, jednoznačným, zrozumiteľným a nezameniteľným spôsobom informoval pred odoslaním objednávky kupujúceho o predzmluvných informáciách, týkajúcich sa reklamačných, platobných, obchodných, prepravných a iných podmienok tak, že:

  1. o hlavných vlastnostiach tovaru alebo charaktere služby v rozsahu primeranom použitému prostriedku komunikácie a tovaru alebo službe informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho,
     

  2. o obchodnom mene a sídle predávajúceho informoval na príslušnej podstránke elektronického obchodu predávajúceho a v čl. 1 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  3. o telefónnom čísle predávajúceho a o ďalších údajoch, ktoré sú dôležité pre kontakt kupujúceho s predávajúcim, najmä adresu jeho elektronickej pošty a číslo faxu, ak ich má informoval na príslušnej podstránke elektronického obchodu predávajúceho a v čl. 1 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  4. o adrese predávajúceho, na ktorej môže kupujúci uplatniť reklamáciu tovaru alebo služby, podať sťažnosť alebo iný podnet informoval v čl. 1 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  5. o celkovej cene tovaru alebo služby vrátane dane z pridanej hodnoty a všetkých ostatných daní alebo ak vzhľadom na povahu tovaru alebo služby nemožno cenu primerane určiť vopred, spôsob, akým sa vypočíta, ako aj o nákladoch na dopravu, dodanie, poštovné a iné náklady a poplatky, alebo, ak tieto náklady a poplatky nemožno určiť vopred o skutočnosti, že kupujúci ich bude povinný uhradiť informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho,
     

  6. o platobných podmienkach, dodacích podmienkach, o lehote, do ktorej sa predávajúci zaväzuje dodať tovar alebo poskytnúť službu, o informácii o postupoch uplatňovania a vybavovania reklamácií, sťažností a podnetov kupujúceho informoval v príslušných článkoch týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  7. o informácii o práve kupujúceho odstúpiť od kúpnej zmluvy, o podmienkach, lehote a postupe pri uplatňovaní práva na odstúpenie od zmluvy informoval v čl. 10 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  8. o poskytnutí formuláru na odstúpenie od kúpnej zmluvy informoval v čl. 10 a v prílohe týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho; predávajúci zároveň poskytol samotný formulár na odstúpenie od kúpnej zmluvy v prílohe týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho
     

  9. o informácii, že ak kupujúci odstúpi od kúpnej zmluvy, bude znášať náklady spojené s vrátením tovaru predávajúcemu podľa § 10 ods. 3 zákona č. 102/2014 Z.z. o ochrane spotrebiteľa pri predaji tovaru alebo poskytovaní služieb na základe zmluvy uzavretej na diaľku alebo zmluvy uzavretej mimo prevádzkových priestorov predávajúceho a o zmene a doplnení niektorých zákonov (ďalej len "Zákon o ochrane spotrebiteľa pri predaji na diaľku"), a ak odstúpi od kúpnej zmluvy aj náklady na vrátenie tovaru, ktorý vzhľadom na jeho povahu nie je možné vrátiť prostredníctvom pošty informoval v čl. 10 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  10. o povinnosti kupujúceho uhradiť predávajúcemu cenu za skutočne poskytnuté plnenie podľa § 10 ods. 5Zákona o ochrane spotrebiteľa pri predaji na diaľku, ak kupujúci odstúpi od zmluvy o službách po tom, čo udelil predávajúcemu výslovný súhlas podľa § 4 ods. 6 Zákona o ochrane spotrebiteľa pri predaji na diaľku informoval v čl. 10 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  11. o okolnostiach, za ktorých kupujúci stráca právo na odstúpenie od zmluvy informoval v čl. 10 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  12. o poučení o zodpovednosti predávajúceho za vady tovaru alebo služby podľa ust. § 622 a 623 Občianskeho zákonníka informoval v čl. 8 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  13. o existencii a podrobnostiach záruky poskytovanej výrobcom alebo predávajúcim podľa prísnejších zásad ako ustanovuje ust. § 502 Občianskeho zákonníka, ak ju výrobca alebo predávajúci poskytuje, ako aj informáciu o existencii a podmienkach pomoci a službách poskytovaných kupujúcemu po predaji tovaru alebo poskytnutí služby, ak sa taká pomoc poskytuje informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a čl. 9 týchto obchodných a reklamačných podmienok, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  14. o existencii príslušných kódexov správania, ktoré sa predávajúci zaviazal dodržiavať, a o spôsobe, akým sa môže kupujúci s nimi oboznámiť alebo získať ich znenie informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho,
     

  15. o dĺžke trvania zmluvy, ak ide o zmluvu uzavretú na dobu určitú; ak ide o zmluvu uzavretú na dobu neurčitú alebo ak ide o zmluvu, pri ktorej sa automaticky predlžuje jej platnosť, aj informáciu o podmienkach vypovedania zmluvy informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  16. o minimálnej dĺžke trvania záväzkov kupujúceho vyplývajúcich z kúpnej zmluvy, ak z kúpnej zmluvy vyplýva pre kupujúceho takýto záväzok informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  17. o povinnosti kupujúceho zaplatiť preddavok alebo poskytnúť inú finančnú zábezpeku na žiadosť predávajúceho a o podmienkach, ktoré sa na jeho poskytnutie vzťahujú, ak z kúpnej zmluvy vyplýva pre kupujúceho takýto záväzok informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  18. o funkčnosti vrátane použiteľných technických ochranných opatrení na zabezpečenie elektronického obsahu, ak je to vhodné informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  19. o kompatibilite elektronického obsahu s hardvérom a softvérom, o ktorých predávajúci vie alebo je rozumné očakávať, že o nich vie, ak je to vhodné informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  20. o možnosti a podmienkach riešenia sporu mimosúdnou cestou prostredníctvom systému alternatívneho riešenia sporov, ak sa predávajúci zaviazal tento systém využívať informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  21. o potrebných úkonoch na uzatvorenie kúpnej zmluvy tak, že tieto potrebné úkony popísal v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

  22. o tom, že kúpna zmluva bude uložená v elektronickej podobe u predajcu a je kupujúcemu dostupná po tom, ako si ju kupujúci písomne vyžiada informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho,
     

o tom, že jazykom ponúkaným na uzatvorenie zmluvy je slovenský jazyk informoval na príslušnej katalógovej stránke elektronického obchodu predávajúceho a v týchto obchodných a reklamačných podmienkach, ktoré sú umiestnené na príslušnej podstránke elektronického obchodu predávajúceho.
 

2.7. Pokiaľ predávajúci nesplnil svoju informačnú povinnosť podľa bodu 2.6. písmena e) týchto obchodných a reklamačných podmienok, kupujúci nie je povinný tieto dodatočné náklady alebo poplatky uhradiť.

3. Rights and obligations of the seller

3.1. The Seller is obliged to:

a) in the event of confirmation of the order in the form of acceptance, the seller is obliged to deliver the goods to the buyer in the agreed quantity, time period, quality and to package them and ensure their transport in a manner necessary for their preservation and protection,

b) ensure that the delivered goods comply with the applicable legal regulations of the Slovak Republic,

c) send confirmation of the conclusion of the purchase contract on a durable medium, such as via e-mail. The confirmation must be sent without delay and must contain all the information specified in 2.6. including the form for withdrawal from the purchase contract.

d) at the latest, together with the goods, hand over to the buyer in electronic or written form all necessary documents for the receipt and use of the purchased goods, as well as other documents prescribed by the applicable legal regulations of the Slovak Republic, such as instructions in the Slovak language, delivery note, warranty certificate and tax document.

3.2. The Seller has the right to proper and timely payment of the purchase price by the Buyer for the delivered goods.

3.3. In the event of unavailability of goods or stock shortages, the seller is unable to deliver the goods to the buyer within the period agreed in the purchase contract, determined by these business and complaint terms and conditions or for the agreed purchase price, the seller is obliged to offer the buyer a substitute performance, or the possibility of withdrawal from the purchase contract for the buyer (order cancellation). Withdrawal from the purchase contract or order cancellation is possible by sending an e-mail to the buyer. In the event of payment of the purchase price by the buyer or part thereof, the seller is obliged to return all payments and therefore the already paid purchase price or part thereof, including the costs of transport, delivery and postage and other costs and fees within 14 days from the date of delivery of the e-mail on withdrawal from the purchase contract or. order cancellation to the buyer to the account specified by him, unless the contracting parties agree otherwise. In the event that the buyer has paid the purchase price or part thereof, the seller is obliged to return the already paid purchase price or part thereof within 14 days from the date of delivery of the withdrawal from the purchase contract to the buyer.

4. Buyer's rights and obligations

4.1. The Seller has informed the Buyer of the obligation to pay the purchase price. This obligation is part of the order.

4.2. Buyer's rights: The buyer has the right to delivery of goods in the quantity, quality, date and place agreed upon by the contracting parties.

4.3. Buyer's obligations:

a) pay the agreed purchase price to the seller within the agreed maturity period, including the costs of delivering the ordered goods,

b) take over the goods that have been ordered and delivered

c) confirm receipt of the goods on the delivery note with his/her signature or the signature of a person authorized by him/her.

5. Delivery and payment terms

5.1. For each product on the e-commerce website, the usual availability of the product is indicated, along with the date of its shipment.

5.2. The seller is obliged to deliver the item to the buyer without delay, no later than 30 days from the date of conclusion of the purchase contract, unless otherwise agreed in the purchase contract. If the seller has not fulfilled this obligation, the buyer may request him to deliver the item within a reasonable additional period determined by him. If the item is not delivered within this additional reasonable period, the buyer is entitled to withdraw from the contract.

5.3. The seller is entitled to invite the buyer to take over the goods even before the expiry of the delivery period agreed in the purchase contract.

5.4. The Buyer is obliged to take over the goods at the agreed place, according to the purchase contract or in another way at a time before the delivery of the goods (hereinafter referred to as the "Place"). The Buyer is obliged to take over the goods within the time frame agreed between the Seller or its representative, authorized to deliver the goods, and the Buyer in the purchase contract or in another way at a time before the delivery of the goods (hereinafter referred to as the "Time Frame").

5.5. If the Seller delivers the goods to the Buyer at the place and within the time limit, the Buyer is obliged to take over the goods in person or to arrange for the goods to be taken over by a person authorized by the Buyer. The Buyer is obliged to sign a protocol on payment of the purchase price, delivery and handover of the goods. The obligation of the third party authorized to take over the goods is to submit a copy of the order acceptance to the Seller. The goods are considered delivered at the moment of delivery of the goods to the Buyer. Delivery of the goods to the Buyer means delivery of the goods to the Place, their acceptance by the Buyer or a third party authorized by the Buyer and signing of the protocol on payment of the purchase price and delivery and handover of the goods by the Buyer or a third party authorized by the Buyer.

5.6. The buyer may check the contents of the shipment, the packaging of the goods and the goods themselves immediately after delivery in the presence of the seller's representative, for example a courier. If a defect in the goods is detected, it is the seller's representative's obligation to enable the buyer to make a record of the nature and extent of the defect in the goods, the accuracy of which will be confirmed by the seller's representative. With the record thus made and delivered to the seller, the buyer may refuse to accept the delivered goods with a defect or confirm the delivery of the goods with a defect and subsequently, in accordance with Art. 8 of these business and complaint terms and conditions, file a complaint about the defects of the goods with the seller or a person designated by him. If the buyer refuses to accept the delivered goods with defects, all reasonably incurred costs for returning the goods to the seller shall be borne by the seller.

5.7. In the event of non-delivery of the goods by the seller, the buyer is entitled to withdraw from the purchase contract within the period specified in point 5.2. of these terms and conditions and the seller is obliged to return to the buyer the purchase price already paid or its part within 14 days from the moment of delivery of the withdrawal from the purchase contract. The funds will be transferred to a bank account specified by the buyer.

6. Purchase price

6.1. The purchase price for the goods, which was agreed in the purchase contract between the buyer and the seller, is stated in the order acceptance (hereinafter referred to as the "purchase price"). If the purchase price stated in the order delivery confirmation is higher than the price for identical goods stated in the e-commerce offer at the time the order was sent to the buyer, the seller will deliver to the buyer an electronic message with information about the offer of a new purchase price at a different amount, which is considered a proposal by the seller to conclude a new purchase contract, which the buyer must explicitly confirm by e-mail or in writing in order for the purchase contract to be validly concluded.

6.2. The buyer is obliged to pay the seller the purchase price, including the costs of delivering the goods, in cash or by payment card upon personal receipt of the goods, cash on delivery at the place of delivery of the goods or by bank transfer to the seller's account specified in the order acceptance or on the seller's website before receipt of the goods.

6.3. When paying the purchase price by bank transfer to the seller's account, the date of payment is considered to be the moment when the entire purchase price was credited to the seller's account.

6.4. The buyer is obliged to pay the seller the purchase price for the agreed goods within the period specified in the purchase contract, but no later than upon receipt of the goods.

6.5. The Seller is entitled to refuse to deliver the goods to the Buyer if the Buyer does not pay the Seller the full purchase price by the time the goods are delivered to the Location and the contracting parties have not agreed to pay the purchase price for the goods in installments.

6.6. Assembly, removal of goods and related costs are not included in the purchase price and the seller is not obliged to provide these services to the buyer.

7. Acquisition of ownership and transfer of risk of damage to the goods

7.1. The buyer acquires ownership of the goods only upon full payment of the purchase price for the goods.

7.2. At the moment of receipt of the goods by the buyer or a third party authorized by the buyer from the seller or from his representative, authorized to deliver the goods, or if he fails to do so in a timely manner, at the time when the seller allows the buyer to handle the goods and the buyer does not take delivery of the goods, the risk of damage to the goods passes to him.

8. Complaints procedure (warranty, liability for defects, complaints)

8.1. The Buyer has the right to free removal of a defect, properly and in due time, if it is a defect of the goods that can be remedied. The Seller is obliged to remove the defect without undue delay.

8.2. Instead of removal of the defect, the Buyer may request replacement of the goods, or if the defect concerns only a specific part of the goods, replacement of that part, provided that this does not result in disproportionate costs for the Seller with regard to the price of the goods or the seriousness of the defect.

8.3. The Seller may always replace defective goods with defect-free goods, provided that this does not cause serious inconvenience to the Buyer.

8.4. If the defect of the goods cannot be remedied and prevents proper use of the goods as defect-free goods, the Buyer has the right to replacement of the goods or the right to withdraw from the purchase contract. The same rights apply to the Buyer if the defects are removable, but the Buyer cannot properly use the goods due to repeated occurrence of the defect after repair or due to a larger number of defects.

8.5. In the case of other irremovable defects, the Buyer has the right to an appropriate discount from the purchase price of the goods.

8.6. The Seller has informed the Buyer of the rights arising from Section § 622 of the Civil Code (points 8.1 to 8.3 of these Terms and Conditions and Complaints Policy) and of the rights arising from Section § 623 of the Civil Code (points 8.4 to 8.5 of these Terms and Conditions and Complaints Policy) by placing these Terms and Conditions and Complaints Policy on the relevant subpage of the Seller’s online store, and the Buyer had the opportunity to read them before submitting the order.

8.7. The Buyer is obliged to submit a complaint to the Seller or to a designated person. The Seller is liable for defects in the goods in accordance with the applicable legal regulations of the Slovak Republic. Information on service centers and designated persons for warranty and post-warranty service shall be provided by the Seller to the Buyer on the reverse side of the warranty certificate or upon request by phone or e-mail.

8.8. The Seller’s valid Complaints Procedure applies to the handling of complaints, i.e. Article 8 of these Terms and Conditions and Complaints Policy. The Buyer was duly acquainted with the Complaints Procedure and informed about the conditions and method of lodging a complaint, including information on where a complaint may be filed and on the performance of warranty repairs in accordance with Section § 18(1) of Act No. 250/2007 Coll. on Consumer Protection, as amended, prior to concluding the purchase contract, by the Seller placing these Terms and Conditions and Complaints Policy on the relevant subpage of the Seller’s online store, where the Buyer had the opportunity to read them before submitting the order.

8.9. The Complaints Procedure applies to goods purchased by the Buyer from the Seller through the Seller’s online store.

8.10. If the goods show defects for which the manufacturer, supplier, or Seller is responsible, are covered by a warranty, and were purchased from the Seller, the Buyer has the right to assert liability for defects with the Seller.

8.11. If the goods show defects, the Buyer has the right to submit a complaint at the Seller’s premises in accordance with Section § 18(2) of the Act by delivering the goods to the Seller’s premises and submitting to the Seller a declaration of the Buyer’s intention to exercise their rights pursuant to points 8.1 to 8.5 of these Terms and Conditions and Complaints Policy (hereinafter the “Notice of Complaint”), for example by completing a complaint form available on the relevant subpage of the Seller’s online store. The Seller recommends insuring the goods when sending them for complaint. Cash-on-delivery shipments will not be accepted. The Buyer is obliged to truthfully state all required information in the Notice of Complaint, especially to precisely specify the type and scope of the defect; the Buyer shall also indicate which of the rights arising from Sections § 622 and § 623 of the Civil Code they are exercising. The Buyer may also submit a complaint to a person authorized by the manufacturer to perform warranty repairs (hereinafter the “designated person”). A list of designated persons is stated in the warranty certificate or will be sent to the Buyer by the Seller upon request.

8.12. Complaint proceedings concerning goods that can be delivered to the Seller begin on the day when all of the following conditions are cumulatively met:
a) delivery of the Notice of Complaint by the Buyer to the Seller,
b) delivery of the complained goods from the Buyer to the Seller or to a designated person,
c) delivery of access codes, passwords, etc. for the complained goods to the Seller, if such data are necessary for proper handling of the complaint.

8.13. If the subject of the complaint is goods that cannot objectively be delivered to the Seller or that are permanently installed, the Buyer is obliged, in addition to fulfilling the conditions under points 8.12(a) and (c), to provide all necessary cooperation to enable an inspection of the complained goods by the Seller or a third party designated by the Seller. Complaint proceedings for such goods begin on the day the inspection is carried out. If, however, the Seller or the designated third party fails to carry out the inspection within a reasonable period, no later than 10 days from delivery of the Notice of Complaint, the complaint proceedings begin on the day the Notice of Complaint is delivered to the Seller.

8.14. The Seller or the designated person shall issue the Buyer with confirmation of submission of the complaint in an appropriate form chosen by the Seller, for example by e-mail or in writing, stating the exact defects complained of and again informing the consumer of their rights under points 8.1 to 8.3 (Section § 622 of the Civil Code) and points 8.4 to 8.5 (Section § 623 of the Civil Code). If the complaint is submitted via means of distance communication, the Seller must deliver the confirmation immediately; if this is not possible, it must be delivered without undue delay, at the latest together with the document on settlement of the complaint. The confirmation need not be delivered if the Buyer can prove submission of the complaint in another manner.

8.15. The Buyer is entitled to decide which of their rights under Sections § 622 and § 623 of the Civil Code they exercise and is obliged to inform the Seller of this decision without delay. Based on the Buyer’s decision, the Seller or designated person must determine the method of handling the complaint pursuant to Section § 2(m) of the Act immediately, in more complex cases within 3 days of the start of the complaint proceedings, and in justified cases, especially if complex technical assessment is required, no later than 30 days from delivery of the complained goods. After determining the method, the complaint shall be handled immediately; in justified cases it may be handled later, but no longer than 30 days from submission of the complaint. After expiry of this period, the consumer has the right to withdraw from the contract or request replacement of the goods.

8.16. If the Buyer submitted a complaint within the first 12 months from conclusion of the purchase contract, the Seller may reject the complaint only on the basis of an expert opinion or an opinion issued by an authorized, notified, or accredited person, or a designated person (hereinafter “expert assessment”). Regardless of the result, the Seller may not require the Buyer to pay the costs of the expert assessment or any related costs.

8.17. If the Buyer submitted a complaint after 12 months from conclusion of the purchase contract and the Seller rejected it, the person handling the complaint must state in the complaint document to whom the Buyer may send the goods for expert assessment. If the Buyer sends the goods for expert assessment to the designated person, the Seller bears all costs regardless of the result. If expert assessment proves the Seller’s liability, the Buyer may submit the complaint again; the warranty period does not run during the assessment. The Seller must reimburse all costs within 14 days. A resubmitted complaint may not be rejected.

8.18. The Buyer is not entitled to claim liability for defects about which they were informed at the time of contract conclusion or which they should have known about considering the circumstances.

8.19. The Seller reserves the right to replace defective goods with other defect-free goods of equal or better technical parameters, provided this does not cause serious inconvenience to the Buyer.

8.20. The Seller is not liable for defects if:
– the Buyer failed to exercise rights within the warranty period,
– the defect resulted from mechanical damage caused by the Buyer,
– the defect resulted from use in unsuitable conditions,
– the defect resulted from improper handling, operation, or neglect,
– the defect resulted from excessive load or use contrary to documentation,
– the defect resulted from unavoidable or unforeseeable events,
– the defect resulted from accidental damage or deterioration,
– the defect resulted from unauthorized intervention, water, fire, electricity, or force majeure,
– the defect resulted from intervention by an unauthorized person.

8.21. The Seller must settle the complaint by one of the following methods:
a) replacement of the goods,
b) refund of the purchase price,
c) delivery of repaired goods,
d) payment of an appropriate discount,
e) written request to collect the Seller-designated performance,
f) justified rejection of the complaint.

8.22. The Seller must issue a written document on determination and settlement of the complaint within 30 days from submission and inform the Buyer of the result immediately after completion by phone or e-mail.

8.23. The warranty period is 24 months from delivery of the goods unless otherwise stated. Sports nutrition products, food in gift baskets, and animal feed have a minimum shelf life of more than 2 months; otherwise, the Seller contacts the Buyer and ships only with Buyer’s consent.

8.24. In the case of warranty repair, the warranty period is extended by the time during which the Buyer could not use the goods.

8.25. In the case of replacement, the warranty period starts anew for the replaced goods only.

8.26. For removable defects, the complaint shall be settled by replacement or repair according to the Buyer’s decision.

8.27. If the Buyer does not determine the method promptly, the Seller shall settle the complaint by repair.

8.28. For irremovable defects or repeated defects preventing proper use, the complaint shall be settled by replacement or refund.

8.29. If the Buyer does not determine the method promptly, the Seller shall settle the complaint by replacement.

8.30. Settlement applies only to defects stated in the Notice of Complaint and confirmation.

8.31. A repeatedly occurring removable defect is one occurring more than twice.

8.32. A larger number of defects means more than three different removable defects simultaneously.

8.33. Once the Buyer has exercised the right to defect removal, the right to complain again about the same unique defect is exhausted.

8.34. Article 8 does not apply to entities that do not meet the definition of a consumer under Section § 2(a) of Act No. 102/2014.

9. Personal data and its protection

The Contracting Parties have agreed that if the Buyer is a natural person, the Buyer is obliged to provide the Seller, in the order, with their first name and surname, permanent residence address including ZIP code, telephone number, and e-mail address.

The Contracting Parties have agreed that if the Buyer is a legal entity, the Buyer is obliged to provide the Seller, in the order, with their business name, registered office address including ZIP code, company identification number (ID No.), telephone number, and e-mail address.

The Buyer may at any time review and change the personal data provided, as well as cancel their registration, after logging in to the Seller’s online store website in the section “XY” (e.g. “My Profile”).

The Seller hereby informs the Buyer that, pursuant to Act No. 18/2018 Coll. on Personal Data Protection and on Amendments to Certain Acts, as amended (hereinafter the “PDPA”), the Seller, as the data controller, will process the Buyer’s personal data without the Buyer’s consent during the process of concluding the purchase contract, as such processing takes place within pre-contractual relations with the Buyer and is necessary for the performance of the purchase contract, in which the Buyer acts as one of the contracting parties.

The Buyer may, by ticking the relevant checkbox before submitting the order, give consent pursuant to the PDPA for the Seller to process and store their personal data, in particular those listed above and/or those necessary for the Seller’s activities related to sending information about new products, discounts, and promotional offers, and to process them in all Seller’s information systems related to such activities.

The Seller undertakes to handle and process the Buyer’s personal data in accordance with the applicable legal regulations of the Slovak Republic.

The Seller declares that, in accordance with the PDPA, it will collect personal data exclusively for the purpose specified in these Terms and Conditions and Complaints Policy.

The Seller further declares that it will collect personal data for purposes other than those stated in these Terms and Conditions and Complaints Policy separately, and will ensure that personal data are processed and used exclusively in a manner corresponding to the purpose for which they were collected, and that they will not be combined with personal data collected for other purposes.

The Buyer grants the Seller consent pursuant to point 9.5 of these Terms and Conditions and Complaints Policy for a fixed period, until the purpose of processing the Buyer’s personal data has been fulfilled. After fulfillment of the processing purpose, the Seller shall ensure immediate disposal of the Buyer’s personal data. The Buyer may revoke the consent to personal data processing at any time in writing. The consent shall expire within one month from delivery of the revocation to the Seller.

Before submitting the order, the Buyer will be asked to confirm, by ticking a checkbox, that the Seller has informed them in a sufficient, clear, and unmistakable manner of the following:

  • the Seller’s identification details specified in Article 1 of these Terms and Conditions and Complaints Policy,

  • the identification details of the third party delivering the ordered goods to the Buyer, as stated in the order acceptance,

  • the purpose of personal data processing, which is the conclusion of a purchase contract between the Seller and the Buyer,

  • that the Seller will process the Buyer’s personal data to the extent of first name and surname, permanent residence address including ZIP code, telephone number, and e-mail address if the Buyer is a natural person, and business name, registered office address including ZIP code, company ID number, telephone number, and e-mail address if the Buyer is a legal entity,

  • that providing the required personal data is mandatory for the Buyer.

The Seller declares that it will process personal data in accordance with good morals and will act in a manner that does not contravene the PDPA or other generally binding legal regulations, nor circumvent them. The Seller further declares that it will not coerce the data subject into granting consent nor condition consent on the threat of refusing a contractual relationship, service, goods, or an obligation imposed on the Seller.

The Buyer has the right, upon written request, to require from the Seller:

  • confirmation whether or not personal data concerning the Buyer are being processed,

  • the purpose of personal data processing,

  • information in a generally understandable form about the processing of their personal data in the information system and its status, including:

    • identification details of the Seller and its representative, if appointed,

    • identification details of the processor (this does not apply if the Seller did not proceed pursuant to Section 34 of the PDPA),

  • precise information in a generally understandable form about the source from which the Buyer’s personal data were obtained,

  • a copy of the Buyer’s personal data that are being processed,

  • additional information necessary, with regard to all circumstances and conditions of personal data processing, to guarantee the Buyer’s rights and legally protected interests, in particular:

    • information on whether the provision of personal data is voluntary or mandatory; if the Seller processes personal data based on the Buyer’s consent, the duration of such consent; and if the obligation to provide personal data arises from directly applicable EU legislation, an international treaty binding the Slovak Republic, or a law, the legal basis and consequences of refusal to provide the data,

    • information on third parties to whom personal data are expected or intended to be provided,

    • the scope of recipients to whom personal data are expected or intended to be disclosed,

    • the form of publication, if personal data are to be published,

    • third countries to which personal data are expected or intended to be transferred,

  • correction of incorrect, incomplete, or outdated personal data,

  • disposal of personal data if the purpose of processing has been fulfilled; if official documents containing personal data are processed, the Buyer may request their return,

  • disposal of personal data if the PDPA or other applicable legal regulations of the Slovak Republic have been violated.

Upon a free written request, the Buyer has the right to object to the Seller to:

  • processing of their personal data that are or may be processed for direct marketing purposes without their consent and request their disposal,

  • use of personal data pursuant to Section 31 for direct marketing by post, or

  • provision of personal data pursuant to Section 31 for direct marketing purposes.

Upon a free written request, the Buyer also has the right to object to the processing of personal data pursuant to Section 31 of the PDPA by stating legitimate reasons or submitting evidence of unauthorized interference with their rights and legally protected interests that are or may be affected by such processing. If no statutory reasons prevent it and the objection is justified, the Seller is obliged to block and dispose of the personal data without undue delay as soon as circumstances permit.

Upon written request, or in person if the matter does not allow delay, the Buyer further has the right at any time to object to and not be subject to a decision of the Seller that would have legal effects or a significant impact on the Buyer if such decision were based solely on automated processing of personal data. The Buyer has the right to request review of such decision by a method other than automated processing, and the Seller is obliged to comply by ensuring that an authorized person plays a decisive role in the review. The Seller shall inform the Buyer of the method and outcome of the review within the period specified in clause 9.18 of these Terms and Conditions. This right does not apply if provided otherwise by special legislation, or if the Seller has complied with the Buyer’s request within pre-contractual or contractual relations, or has adopted other appropriate measures to safeguard the Buyer’s legitimate interests.

If the Buyer exercises their rights in writing and it is clear from the content of the request that such rights are being exercised, the request shall be deemed to have been submitted pursuant to this Act. Requests submitted by e-mail or fax must be delivered in writing within three days from dispatch.

If the Buyer suspects that their personal data are being unlawfully processed, they may file a complaint with the Office for Personal Data Protection. If the Buyer lacks full legal capacity, their rights may be exercised by a legal representative.

The Seller is obliged to process the Buyer’s request pursuant to this Article in writing and to inform the Buyer in writing no later than 30 days from receipt of the request.

Any restriction of the Buyer’s rights under the PDPA shall be communicated by the Seller without delay in writing to the data subject and to the Office for Personal Data Protection.

The Seller hereby informs the Buyer that, in accordance with the PDPA, the Buyer’s personal data are expected to be provided and made accessible to the following third parties or categories of recipients:

10. Withdrawal from the purchase contract

10.1. If the Seller is unable to fulfill its obligations arising from the purchase contract due to depletion of stock, unavailability of goods, or because the manufacturer, importer, or supplier of the goods agreed in the purchase contract has discontinued production or made such significant changes that make performance of the Seller’s obligations impossible, or due to force majeure, or if despite exercising all efforts that can reasonably be required the Seller is unable to deliver the goods to the Buyer within the period specified in these Terms and Conditions, the Seller is obliged to immediately inform the Buyer of this fact and at the same time offer the Buyer substitute performance or the option to withdraw from the purchase contract (cancel the order). If the Buyer withdraws from the purchase contract for the reasons stated in this clause, the Seller is obliged to refund any advance payment already paid for the goods within 14 days from the notice of withdrawal, by bank transfer to the account designated by the Buyer.

10.2. The Buyer is entitled to withdraw from the purchase contract without stating any reason in accordance with Section § 7 et seq. of Act No. 102/2014 Coll. on Consumer Protection in Distance Selling (hereinafter the “Distance Selling Consumer Protection Act”) within 14 days from receipt of the goods, or from the date of conclusion of a service contract or a contract for the provision of electronic content not supplied on a tangible medium, provided that the Seller has duly fulfilled its information obligations pursuant to Section § 3 of the Distance Selling Consumer Protection Act.

10.3. Within this period, the Buyer has the right, after receiving the goods, to unpack and test them in a manner comparable to that customary in a traditional brick-and-mortar store, to the extent necessary to determine the nature, characteristics, and functionality of the goods.

10.4. The withdrawal period begins on the day on which the Buyer or a third party designated by the Buyer, other than the carrier, takes delivery of all parts of the ordered goods, or if:

  • a) the goods consist of multiple parts or pieces, on the day of receipt of the last part or piece;

  • b) goods ordered by the Buyer in one order are delivered separately, on the day of receipt of the goods delivered last;

  • c) goods are delivered repeatedly over a defined period under a contract, on the day of receipt of the first delivered goods.

10.5. The Buyer may withdraw from a purchase contract for the purchase of goods even before the withdrawal period begins.

10.6. Withdrawal from the contract must be made in writing in a manner that does not give rise to doubt that the withdrawal was made intentionally, on another durable medium, or by using the form attached as Annex No. 1 to these Terms and Conditions and Complaints Policy. The withdrawal period is deemed to have been observed if the notice of withdrawal was sent to the Seller no later than on the last day of the period pursuant to Section § 7(1) of the Distance Selling Consumer Protection Act.

10.7. Withdrawal from the purchase contract must include the information required in the withdrawal form attached as Annex No. 1 to these Terms and Conditions and Complaints Policy, in particular identification of the Buyer, order number and date, precise specification of the goods, and the method by which the Seller is to refund the payments received, especially the Buyer’s bank account number and/or postal address.

10.8. In the event of withdrawal from the purchase contract by the Buyer, any ancillary contract related to the withdrawn purchase contract shall be cancelled from the outset. The Buyer shall not be required to bear any costs or other payments related to the cancellation of such ancillary contracts, except for costs and payments pursuant to Section § 9(3) and Section § 10(3) and (5) of the Distance Selling Consumer Protection Act, and the price of a service if the contract concerns the provision of a service and the service has been fully provided.

10.9. Within 14 days from the date of withdrawal from the purchase contract, the Buyer is obliged to return the goods to the Seller without undue delay by sending them to the Seller’s registered office, handing them over to the Seller, or to a person authorized by the Seller to receive the goods. This does not apply if the Seller has offered to collect the goods personally or through an authorized person. The time limit is deemed to have been met if the goods were handed over for transport no later than on the last day of the period.

Cash-on-delivery shipments will not be accepted by the Seller. Insuring the goods is recommended. The Seller is obliged to refund the Buyer, without undue delay and no later than 14 days from receipt of the notice of withdrawal, all payments received under or in connection with the purchase contract, including delivery, transport, and postal costs and other fees. The Seller is not obliged to refund such payments before the goods are returned or before the Buyer provides proof of having sent the goods back, unless the Seller has offered to collect the goods personally or through an authorized person.

10.11. The costs of returning the goods to the Seller shall be borne by the Buyer. This does not apply if the Seller has agreed to bear these costs or if the Seller has failed to fulfill its obligation under Section § 3(1)(i) of the Distance Selling Consumer Protection Act.

10.12. The Buyer is liable only for any reduction in the value of the goods resulting from handling beyond what is necessary to determine their nature, characteristics, and functionality. The Buyer shall not be liable for any reduction in value if the Seller has failed to fulfill its information obligation regarding the consumer’s right to withdraw from the contract pursuant to Section § 3(1)(h) of the Distance Selling Consumer Protection Act.

10.13. The Seller is obliged to refund the purchase price using the same means of payment used by the Buyer, unless the Seller and the Buyer agree otherwise, without charging the Buyer any additional fees.

10.14. In accordance with Section § 7(6) of the Distance Selling Consumer Protection Act, the Buyer may not withdraw from a contract whose subject matter is:

  • goods made to the consumer’s specifications, custom-made goods, or goods clearly personalized for one consumer;

  • goods sealed in protective packaging that is not suitable for return for health or hygiene reasons and whose protective seal has been broken after delivery;

  • audio recordings, video recordings, audiovisual recordings, books, or computer software sold in protective packaging, if the consumer has unsealed the packaging;

  • electronic content not supplied on a tangible medium, if its provision began with the consumer’s explicit consent and the consumer acknowledged that by giving such consent they lose the right to withdraw from the contract;

  • goods which, after conclusion of the contract and receipt by the Buyer, were assembled, installed, or used in such a way that restoring them to their original condition would require excessive effort or costs, such as assembled furniture.

10.15. The provisions of Article 10 of these Terms and Conditions and Complaints Policy expressly do not apply to entities that do not meet the definition of a consumer pursuant to Section § 2(a) of the Act.

11. Final provisions

11.1. In the event of a purchase contract being concluded in writing, any change to it must be in writing.

 

11.2. The Parties have agreed that communication between them will be carried out in the form of e-mail messages.

 

11.3. The relevant provisions of the Civil Code, the Act, Act No. 22/2004 Coll. on electronic commerce and amending Act No. 128/2002 Coll. on state control of the internal market in matters of consumer protection and amending certain acts as amended by Act No. 284/2002 Coll. as amended by later regulations and Act No. 102/2014 Coll. on consumer protection in distance selling apply to relationships not regulated by these business and complaint terms.

 

11.4. These business and complaint terms and conditions come into effect for the buyer upon conclusion of the purchase contract.

 

11.5. Before sending the order, the buyer will be asked to confirm by checking the box that he has become familiar with these business and complaint terms and conditions, has read them, understands their content and agrees with them in full.

12. Alternative Dispute Resolution

12.1. The buyer has the right to request redress from the seller if he feels that the seller has violated his rights or has not resolved the complaint to his satisfaction. If the seller does not respond to the request within 30 days or responds negatively to it, the consumer may submit a proposal to initiate alternative dispute resolution with an alternative dispute resolution entity (hereinafter referred to as the ADR entity) pursuant to Act 391/2015 Coll. According to §3 of Act 391/2015 Coll., ADR entities are authorities and authorized legal entities. The consumer may submit a proposal in the manner specified in §12 of Act 391/2015 Coll. The application may also be submitted online via the alternative dispute resolution platform RSO .

 

Alternative dispute resolution is reserved exclusively for individual consumers, not business buyers. Dispute resolution takes place between a consumer and a seller who have concluded a distance contract and whose dispute has a value higher than EUR 20. The maximum fee that ADR can request is EUR 5 from the buyer, to cover costs.
